Terms of Service

FSG is owned and operated by KB Systems LLC (“FSG,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Site, App, subscriptions, license Keys, and support services. By visiting flexshiftgrabber.com, downloading or using the App, purchasing a subscription, activating a Key, contacting us for support, or otherwise interacting with FSG — and, where presented, by clicking “I agree” — you agree to these Terms. If you do not agree, do not use FSG.

1. Definitions
1.1 “Site” means flexshiftgrabber.com.

1.2 “App” means the FSG downloadable desktop application.

1.3 “User,” “you,” or “your” means the person using the Site, App, subscription, license key, or support services.

1.4 “Key” means the individual license key provided by FSG to access paid features.

1.5 “Task” means a shift-related task created, configured, or completed within the App.
2. Contract
2.1 By purchasing a Key, the User enters a contract with FSG.

2.2 The contract is valid indefinitely or until the User or FSG terminates the contract by ending the subscription based service. The final contract date will fall on the day Stripe marks the subscription as canceled, inactive, or otherwise not active.

2.3 Eligibility. You represent that you are at least 18 years old and able to form a binding contract. FSG is intended for use in connection with Amazon, which employees meet Amazon’s own eligibility requirements. You are responsible for meeting any eligibility requirements of the third-party services you use with FSG.
3. Products
3.1 Upon successful verification of purchase, FSG grants the User a limited, non-exclusive, non-transferable, revocable Key to use the App during an active subscription, sent to the User via email used to purchase.

3.2 The User is given limited time access for the duration of their active subscription to the App, downloadable from the User Dashboard.
4. Changes
4.1 FSG holds the right to make changes to the Site, App, or how we provide our Products and services for means of improvements.

4.2 Changes may temporarily disrupt availability. Users are not entitled to compensation for temporary loss of service due to third-party services, regular updates, fixes, and improvements.

4.3 We will notify Users of changes to this document on the Site.
5. Delivery of Products
5.1 Key: see clause 3.1

6. Providing Services
6.1 FSG provides optional customer support. We will do our best to reply in a timely manner in line with regular business hours.

6.2 We may experience downtime due to third party services that are out of our control.
7. Subscriptions
7.1 Access to FSG is on a monthly subscription basis.
(a) Users will be issued an invoice and subsequently charged each month at the start of their billing period.
(b) Each billing cycle, upon successful payment, Users will be granted an extension to their Key to the start of the next billing cycle.
(c) If a User payment fails on subscription renewal, we will attempt to collect the past-due payment two more times over the next two days of the initial failure (retry timing follows our payment processor’s configuration). This is considered a grace period.
(d) If all attempts to collect payment fail, the User will be deemed delinquent, their subscription canceled, Key revoked, and access withdrawn from FSG.
(e) Users who cancel their subscription will retain access until the end of the User’s current billing cycle. Before the current billing cycle ends, Users can resume automatic renewal. Contact support for help cancelling subscriptions.
(f) Your subscription automatically renews each billing cycle, and your payment method on file is charged at the start of each cycle, until you cancel. You may cancel at any time through the Stripe customer portal (see clause 7.2); cancellation stops future renewals and takes effect at the end of the current billing cycle.

7.2 Users can manage their subscriptions by navigating to the Stripe customer portal, accessible in the User Dashboard under Account. The Stripe customer portal allows Users to:
(a) Cancel subscriptions. See clause 7.1e
(b) Resume automatic renewal
(c) View previous invoices
(d) View upcoming invoice
(e) Add/remove/change payment options
8. Refunds and Disputes
8.1 FSG generally does not offer refunds.
(a) Subscription cancellation is not available for proration. See clause 7.1e.
(b) Credit may be awarded towards the next invoice due to unforeseen and extreme circumstances. These situations must be brought to attention by the User and are assessed on a case-by-case basis.

8.2 Contact us should any issues arise before formally submitting a dispute or chargeback.
(a) Formally submitting a dispute with your bank or otherwise will immediately revoke access to FSG.
(b) It is recommended to first reach out to customer support to resolve any issues or mistakes.
9. Authorized Usage
9.1 Each User is allowed to use only their unique Key to access FSG.

9.2 Users are not allowed to:
(a) Bypass licensing
(b) Share Keys
(c) Sell Keys
(d) Modify, decompile, or redistribute the App
(e) Use FSG in a malicious way

9.3 FSG reserves the right to immediately terminate subscriptions at any time at our own discretion. Factors may be but are not limited to suspicion of abuse or other prohibited activities listed in clause 9.2.
10. Intellectual Property
10.1 FSG owns the provided:
(a) Software and code
(b) Site
(c) Logos
(d) Branding
(e) Documentation

10.2 Under no circumstances is the User allowed to copy, reproduce, or resell any content unless given explicit written permission.
11. Third-Party Services
11.1 FSG relies on third-parties for its functionality. See clause 4.2
(a) Stripe for secure payment processing
(b) KeyAuth for license authentication
(c) Amazon for Task completion

11.2 FSG is not affiliated with, endorsed by, sponsored by, or approved by Amazon. Amazon and Amazon Flex are trademarks of Amazon Technologies, Inc.

11.3 In the event a third-party update causes FSG to discontinue, we will notify Users of our decision two weeks in advance of discontinuation.
12. Risks
12.1 Our services do not guarantee success. We do not guarantee:
(a) Claimed shifts
(b) 100% success rate
(c) Future functionality

12.2 There are a variety of devices and internet connections that make it impossible to standardize settings that will work for everyone. The default recommended settings are not guaranteed to work for everyone all the time. It only serves as a baseline to tweak the settings to fit the User’s individual circumstances. FSG holds no responsibility for the designation of settings and their results, however we will assist in finding the most optimal settings if you contact support.

12.3 We are not responsible for:
(a) Loss of shifts
(b) Loss of income
(c) Shift penalties

12.4 It is the User’s responsibility to abide by the rules and terms of third-party services used by FSG. See clause 11.1
13. Personal Information
13.1 We use personal information to provide our services, ensure authorized use, and make improvements. Information used is outlined in our Privacy Policy.
14. Disclaimer of Warranties
14.1 THE SITE, APP, AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

14.2 FSG does not warrant that the Site or App will be uninterrupted, error-free, or secure, or that it will produce any particular result, including the claiming of any shift. See clause 12.

14.3 Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
15. Limitation of Liability
15.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, FSG AND ITS OWNERS, MEMBERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INCOME, SHIFTS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) FSG.

15.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, FSG’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR FSG WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO FSG IN THE 6 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15.3 The limitations in this section apply regardless of the legal theory and even if FSG has been advised of the possibility of such damages.
16. Indemnification
16.1 You agree to indemnify, defend, and hold harmless FSG and its owners, members, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of FSG; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) your violation of the terms, policies, or rules of any third-party service used with FSG, including Amazon and Amazon Flex.
17. Governing Law and Dispute Resolution
17.1 These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules.

17.2 Any dispute arising out of or relating to these Terms or FSG will be brought exclusively in the state or federal courts located in Outagamie County, WI, and you consent to the personal jurisdiction of those courts.

18. General
18.1 Severability. If a court finds a clause to be unenforceable, the remainder of these Terms stays in effect.

18.2 Entire Agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and FSG regarding FSG and supersede any prior agreements or understandings.

18.3 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or similar transaction.

18.4 No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

18.5 Force Majeure. FSG is not liable for any delay or failure to perform due to causes beyond our reasonable control, including third-party service outages, network failures, or acts of God. See clauses 4.2 and 6.2.

18.6 Changes to these Terms. We may update these Terms from time to time. We will update the “Last updated” date and post changes on the Site. Your continued use of FSG after changes are posted means you accept the updated Terms.
